MINUTES OF THE ORANGE COUNTY COMMUNITY COLLEGE BOARD OF TRUSTEES MEETING HELD ON MONDAY, DECEMBER 12, 2005, AT 7:00 PM, MUSIC ROOM, MORRISON HALL Present: Vice Chair J. Wolfe, A. Anthonisen, R. Calderin, K. Golden, H. Gareiss S. Hunter, D. Mirro Absent: R. Glinton, B. Hodge I. CALL TO ORDER At 7:00 pm Vice Chair Joan Wolfe called the meeting to order and noted a quorum was present. II. CONSENT AGENDA A motion was made to approve Consent Agenda Items A - D as presented. Gareiss/Calderin Unanimous A. PRESIDENT�S REPORT President William Richards highlighted the following items: . The Trustees and OC Citizens Foundation Reception is scheduled for 12/15/05 from 5 � 7 pm. . This is the first year that the Holiday Open House, which is decorated by the Middletown Garden Lovers Club, will be open to the public for two weekends. . The Newburgh Planning Committee meeting is rescheduled for Thursday, 12/15/05. JMZ will announce four potential sites for the new Newburgh Campus, and on 1/10/06, JMZ will reveal their top choice. . Vice President Vinnie Cazzetta will lead the fundraising effort with the faculty, staff and Trustees in memory of Virginia McMahon, the wife of former Trustee John McMahon. At the family�s request, all donations will be presented to Hospice. . The meeting with SUNY Vice Chancellor and Chief of Staff, Dr. Elizabeth Capaldi will be rescheduled for some time in January 2006. . Former Chancellor Robert L. King ended his tenure at SUNY Potsdam and accepted a position as the Executive Director of the Arizona Community Foundation in Phoenix, AZ. M-12-12-05 - Page 2 . Two CD�s, one a collection from the College�s Madrigal Singers and the other a selection of tunes from the Mansion Series, were presented to the Trustees. . Chair Roberta Glinton is doing well as she recovers from knee surgery. . At a recent meeting with Congressman Gilman and his wife Georgia, the architect presented the renderings for the proposed Gilman Institute for International Studies. The Gilmans were impressed with the renderings and the plans for the facility. To date $1.3 million has been raised, however, before the College moves forward another $1.3 must be raised for the project. . Special thanks were extended to Mike Worden for making the fireplace in the first floor, lobby area of Morrison Hall fully operational for the Holiday Open House. . Although Margaret Scribner, Chair of the Nursing Department, has announced her retirement, she will remain on staff as preceptor and as an adjunct faculty member. IV. REPORT OF THE COLLEGE GOVERNANCE SYSTEM 1. Executive Committee approved the creation of an ad hoc Information Commons Committee, to be announced at the January Assembly. The committee�s purpose is to assist the Director of the LRC with input on policies and programs related to the Information Commons, being newly formed in the LRC. 2. Conversations are ongoing between the Executive Committee, the Faculty and Staff Development Committee, the Center for Teaching and Learning, and the VPAA�s office in order to clarify charges, processes and relationships between the Faculty and Staff Development Committee and the VPAA�s Center for Teaching and Learning initiative. 3. The Student Course Survey pilot, in response to a Middle States recommendation, should be completed this semester, with the ad hoc committee reviewing its results this Spring semester. 4. The November Assembly discussion topic on Distance Learning was collegial and fruitful in identifying issues and concerns about the extent to which the college should engage in online offerings, especially full degree or program offerings. The many issues and concerns were forwarded to the VPAA�s office and will also be reviewed by the Coordinator of Instructional Technology and the Academic Policy Committee�s subgroup on Distance Learning Policy. The January Assembly discussion topic will be the academic impact of full-time to part-time faculty ratios college-wide. 5. The Executive Committee continues its review of standing committee charges and the Constitution and By-laws for updates. An amendment to the Constitution and By-laws regarding standing committee chairs will be introduced at the January Assembly for discussion with the vote to occur at the February Assembly. V. REPORT OF THE STUDENT TRUSTEE Student Trustee Kathleen Golden reported that the students are focusing on taking finals. Former student Trustees Donald Boyce and Kenneth Sincerbox send their best regards for a Happy Holiday Season. . VI. OLD BUSINESS 1. A short discussion took place concerning Trustee representation on the Orange County Community College Association Board. President Richards noted that the Trustees could either appoint a Board member or have the College Association�s By-laws amended. Trustee Joan Wolfe volunteered to serve in that capacity of Trustee representative. A motion was made to approve the appointment of Vice Chair Joan Wolfe as the Trustee representative to the Orange County Community College Association. COMMENTS FROM THE PUBLIC Professor Kathleen Malia, President of the Faculty Association, is still gathering information with regard to replacing faculty positions due to retirements. Vice President Dan Bloomer and Human Resources Officer Wendy Holmes will report on this topic at the January 2006 Board meeting. X. BOARD DISCUSSION � At a breakfast this morning held at the 105th Air National Guard and sponsored by the College, the Orange County Chamber of Commerce and the OC Citizens Foundation, SUNY Chancellor John Ryan spoke about global initiatives. He also announced that SUNY will open an office in Beijing, China in February 2006. � Trustee Arthur Anthonisen announced that the NYCCT delegates meeting will take place tomorrow at 3 pm in Syracuse. The delegates will vote on amendments to the NYCCT association�s By-laws. � Trustee Arthur Anthonisen reminded the Trustees that next NYCCT conference is scheduled for 3/31/06 � 4/1/06 at the Gideon Putnam in Saratoga Springs.
